Membership Terms
These Terms and Conditions apply to all Tech Village memberships. "Member" means any person or entity using Tech Village under a membership agreement, a lease with Launchpad, or a Launchpad program agreement. "Launchpad" means Launchpad Tech Ventures, LLC, operating the Tech Village coworking community at 25 Goldsmith Street, Suite I, Greenville, SC 29609 (the "Premises"). "Landlord" means the owner of the building in which the Premises are located (the "Building"), together with its property manager, if any. "Flywheel" means Flywheel Coworking at its Greenville, SC location in the same Building. Membership and the right to use the Premises and common areas are subject to these Terms and Conditions, the rules and regulations promulgated by Launchpad, and any additional terms and conditions that Launchpad or Landlord may reasonably deem necessary.
1. Membership and Eligibility
- A) Tech Village membership is limited to Launchpad Community Members: participants in Launchpad Ignite or other Launchpad programs, Launchpad portfolio companies, and other persons or entities approved by Launchpad in its sole discretion. Memberships are not offered to the general public.
- B) Memberships are offered on a first come, first served basis.
- C) All activity inside Tech Village must be of a legal business nature only. Any non-business use is grounds for immediate membership revocation.
- D) Members may not make retail sales from the Premises without permission and may not operate manufacturing equipment of any kind inside Tech Village.
- E) Members must comply with all legal requirements to obtain applicable municipal, county, or state business licenses and any required professional licenses, and must provide copies to Launchpad upon request.
2. Description of Services
Launchpad may provide Members with access to office space, workstations, Internet access, office equipment, conference space, knowledge resources, Flywheel benefits described in Section 11, and other services offered from time to time (collectively, "Services"). The Services are at all times subject to these Terms and Conditions.
3. No Unlawful or Prohibited Use
As a condition of use of the Services, Member will not use the Services for any purpose that is unlawful or prohibited by these Terms and Conditions. Member may not use the Services in any manner that could damage, disable, overburden, or impair any Launchpad server or connected network, or interfere with any other party’s use and enjoyment of the Services. Member may not attempt to gain unauthorized access to any Services, accounts, computer systems, or networks through hacking, password mining, or any other means, and may not obtain or attempt to obtain any materials or information through means not intentionally made available through the Services.
4. Authorization
Member represents and warrants that it has all requisite legal power and authority to enter into and abide by these Terms and Conditions and that no further authorization or approval is necessary. Member further represents and warrants that its participation in or use of the Services will not conflict with or result in a breach of any license, contract, agreement, or other instrument or obligation to which Member is a party.
5. Internet Policy
Wireless Internet access is provided during membership. Hardwired data ports are included in private offices only; additional hardwired ports may be installed at Member’s expense. Service interruptions will be handled as promptly as possible, but Launchpad is not responsible for any data, business, or other losses resulting from such interruptions. Member is responsible for protecting its own computers and data from electrical surges, theft, viruses, or other malicious attack, and Launchpad is not responsible for any security breach of Member’s computer or data. Member receives a single user account solely for its own use, has no proprietary right to any IP address, login name, or password, and may not resell, share, or assign any aspect of the Service. Launchpad may change addresses, login names, or passwords at any time. Sharing the Service with another party breaches these Terms and Conditions, and Launchpad reserves all rights and remedies.
6. Use of Services
When participating in or using the Services, Member will NOT:
- A) Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited messages (commercial or otherwise);
- B) Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
- C) Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, obscene, indecent, or unlawful topic, name, material, or information on or through the Services;
- D) Upload or otherwise make available files containing images, photographs, software, or other material protected by intellectual property laws unless Member owns or controls the rights or has received all necessary consents;
- E) Use any material or information made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
- F) Upload files that contain viruses, Trojan horses, worms, time bombs, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property;
- G) Download any files that Member knows, or reasonably should know, cannot be legally reproduced, displayed, performed, or distributed in such manner;
- H) Restrict or inhibit any other user from using and enjoying the Services;
- I) Violate any code of conduct or other guidelines applicable to any particular Service;
- J) Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;
- K) Violate any applicable laws or regulations; or
- L) Create a false identity for the purpose of misleading others.
7. Participation at Member’s Own Risk
Member acknowledges that it participates in and uses the Services of its own free will and decision, and that Launchpad has no liability with respect to Member’s access to, participation in, or use of the Services, or any loss of information resulting from such participation or use.
8. Monthly Memberships and Payment
Monthly memberships are paid one month in advance. Payment constitutes membership renewal. All payments are non-refundable. Failure to timely pay membership fees will result in late fees and/or immediate termination of membership and access to the facility.
9. Cancellation
Monthly coworking memberships renew automatically until the Member gives written notice of intent to cancel by the 15th day of the final month. Fixed-term plans and Tech Village leases are governed by the renewal, cancellation, and notice provisions of the primary agreement or lease; the notice provisions of this Section apply only to month-to-month plans.
10. Day Passes
Payment for a day pass is required at the time of entry. Day pass fees may not be prorated or refunded. Balances for printing, copying, supplies, and similar charges are due upon checkout at the end of the rental period. Day pass users must check out and leave the Building by 5:00 p.m. each day.
11. Flywheel Greenville Member Benefits
Launchpad maintains a corporate membership with Flywheel at its Greenville location in the same Building. Through that corporate membership, Members in good standing receive the following benefits, as applicable to their membership plan: 24/7 access to the Flywheel coworking space, onboarding to Flywheel’s member management and booking system, free parking, Flywheel member amenities, and member rates on Flywheel services.
Flywheel meeting room and conference room time is drawn from a pooled monthly allowance held by Launchpad and is allocated by Launchpad among membership plans and program uses. Flywheel rooms must be reserved through the booking system, and Members are subject to Flywheel’s rules, policies, and staff direction at all times while on Flywheel premises. Conduct that violates Flywheel’s rules is also a violation of these Terms and Conditions.
These benefits are provided under and are contingent upon Launchpad’s corporate membership with Flywheel. They may be modified by Flywheel or Launchpad from time to time and continue only so long as the corporate membership remains in effect. A change to or loss of Flywheel benefits is not a breach of these Terms and Conditions and does not entitle Member to any refund or credit. Members may not extend, resell, or share Flywheel benefits with non-members.
12. Representations and Warranties
By signing the Tech Village Membership Application and Agreement, Member agrees:
- A) To use the coworking space to conduct only legal business activities;
- B) To be mindful and courteous to fellow Members and to abide by the community protocols detailed during Member orientation;
- C) To be responsible for any damage to the Premises, equipment, and contents caused by Member or Member’s guests, and to report any damage to a Launchpad representative immediately;
- D) To leave the space in proper order, with all paper, cups, trash, and similar items disposed of in trash or recycling receptacles;
- E) To immediately report any conflicts that arise between Member and other Members to a Launchpad representative; and
- F) To provide Launchpad such information regarding Member’s business as may be reasonably requested from time to time, including standard recurring reports requested of Members.
13. Smoking
Smoking or vaping of any kind, including cigarettes, cigars, pipes, other tobacco products, or illegal substances, is prohibited in the Premises and the Building.
14. Collaboration
Coworking provides a means for independent business operators to share information and collaborate on projects. Sharing and collaboration among Members is highly recommended and encouraged.
15. Indemnification and Limitation of Liability
- A) Member agrees that neither Launchpad, Landlord, nor Flywheel is responsible for any personal injuries, property damage, lost or stolen items, or other liabilities that may be incurred during Member’s use of the facility. Member agrees to release, indemnify, and hold harmless Launchpad, Landlord, Flywheel, and their respective managers, members, officers, employees, and agents from any such claims, damages, losses, or expenses, and releases them from any liability whatsoever related to Member’s use of Tech Village or the Flywheel premises.
- B) Member agrees to defend, indemnify, and hold harmless Launchpad, Landlord, Flywheel, and their respective managers, members, officers, employees, and agents from and against any damages, loss, claim, suit, and expense, including attorneys’ fees and legal expenses, occasioned by or arising out of any claim for death, damage, or otherwise, which results from any act or omission of Member or Member’s guests while on or near the Premises, Member’s use of the Premises or the Flywheel premises, or any defect or alleged defect in the facility.
- C) Where a Member has a separate written agreement with Flywheel governing use of Flywheel’s premises, that agreement governs as between the Member and Flywheel as to the Member’s use of those premises under that agreement, and Flywheel is not a third-party beneficiary of this Section as to that use. Neither Launchpad nor Landlord accepts responsibility for theft or other loss of money, valuables, or personal effects of Members or their guests.
- D) To the maximum extent permitted by applicable law, neither Launchpad nor Landlord is liable to Member for any loss or damage suffered in connection with the membership, the Services, or Member’s accommodations unless Launchpad or Landlord acted with gross negligence in causing that loss or damage. In no event will Launchpad or Landlord be liable for any loss or damage until Member provides written notice and a reasonable time to cure. In no event will Launchpad or Landlord be liable for any loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third-party claims, or any consequential loss unless otherwise agreed in writing.
16. Conference Rooms
Members whose plans include conference room time must schedule use through the online reservation system. Other Members may schedule conference rooms for an additional fee. Only business-related activities are permitted in conference rooms. The Member must be present during use of rooms booked under their membership and must remain until all guests have left the Building. Members are responsible for the actions of their guests. Unused monthly allowances of conference room time cannot be accrued or transferred. Rooms must be reserved in advance. No-shows will be charged for the full time reserved. Reservations may be cancelled up to 4 hours in advance without incurring no-show charges. Flywheel room bookings are additionally governed by Section 11.
17. Security
Launchpad is not responsible for the security of any Member or guest. Member acknowledges its own responsibility for its security at all times while in or near the Premises.
18. Building Entry and Access
Members will be issued card or fob access permitting entry to Tech Village 24 hours per day, seven days per week, except as otherwise specified in Member’s plan. Members agree to keep access credentials secure and confidential at all times and to refrain from sharing them with any other party. Any Member who shares access credentials is subject to immediate termination of membership. Non-members may enter during staffed hours only, unless they are a Member’s guest and the Member is present. Day pass users must leave the Building by 5:00 p.m.
19. Printing and Copying
Use of the print/copy/scan equipment is available to Members and, where permitted, non-member guests. Members receive a predetermined number of free black-and-white and color copies per month, after which charges will be added to the Member’s monthly invoice. Prices will be posted in the copy area. Unused monthly print/copy allowances cannot be accrued or transferred.
20. Guests and Reception
Members must meet their guests at the main entrance during business hours to provide access to the Building and direct them to the correct meeting space. Members should instruct guests to contact the Member directly upon arrival. The Community Manager is not to be utilized as a personal assistant. Member assumes full responsibility for the acts of its personnel and guests and agrees to reimburse Launchpad and/or Landlord for any damages to facilities, equipment, or furniture, charges for false fire alarms, charges for lost access cards, and fines for violation of Launchpad or Landlord regulations.
21. Mobile Devices and Phone Booths
To maintain a peaceful, productive environment, all Members and guests must set phones, tablets, laptops, and other mobile devices to vibrate while on the Premises. Calls longer than 2 minutes should be taken in a phone booth. Phone booths may not be reserved, and Members must be respectful of others by keeping their use to the minimum time necessary.
22. Wi-Fi
Internet access for Members is available by Wi-Fi throughout Tech Village. Access codes will be provided to eligible Members. Members who use such access inappropriately may have access revoked. Guests of Members must use the guest network.
23. Insurance
Launchpad carries liability and business personal property insurance. Launchpad’s insurance does not extend any coverage to Members. Member is responsible for arranging insurance for its own property brought onto the Premises and for its own liability to its employees and third parties. Members are not required, but are strongly encouraged, to carry insurance covering their own equipment and personal property.
24. Mail and Business Address
All membership plans, Tech Village leases, and program agreements under which the Member operates in person from Tech Village include a mailbox at Tech Village; day pass users do not receive mailbox or address privileges. Members with a mailbox may receive business mail and packages at the Premises and may use Tech Village's street address as their business address, including on their website and in online business listings. Members are responsible for retrieving their mail regularly; Launchpad is not responsible for lost, delayed, or damaged mail or packages. Upon termination of membership, Member must promptly update its business address with all senders and listings, and Launchpad may refuse or return mail received for a former Member after thirty days.
25. Temperature
The temperature is preset. Members may not attempt to adjust it. If adjustment is required, notify the Community Manager for assistance.
26. Signs
Company signage may be provided for Members with private offices. Otherwise, Member shall not display any sign on the exterior or interior of the Premises without the prior written permission of Launchpad.
27. Termination and Revocation
Launchpad may terminate any membership at any time for any reason, provided reasonable notice is given, except that where these Terms and Conditions provide for immediate termination, no additional notice is required. Launchpad and Landlord reserve the right to revoke building and membership privileges, including use or occupancy of any space, of any occupant whose conduct, in Launchpad’s or Landlord’s opinion, becomes injurious or potentially injurious to the Tech Village, Launchpad, Landlord, or Flywheel community. Member agrees to promptly remove its property from the facility upon notice of cancellation or termination of membership.
28. No Warranty of Business Success
Member acknowledges that any business venture undertaken by Member depends on Member’s ability as an independent businessperson and on factors beyond the control of Launchpad, such as market and economic conditions. The success or failure of Member’s business will not depend on the performance of Launchpad or its affiliates, and Launchpad makes no representation or warranty whatsoever as to the success of Member’s business.
29. Use of Names
Member may not, without the prior written consent of the named entity, use any of the following names in any advertising, brochures, or promotional materials: Launchpad Tech Ventures, Tech Village, Launchpad Ignite, Launchpad Partners Group, or Flywheel. Launchpad may not, without the prior written consent of Member, use Member’s name in any advertising, brochures, or promotional materials.
30. Facilities Rules
- A) Members may not place anything, or allow anything to be placed, in the common areas, in any office or meeting space, or near any glass, window, door, partition, or wall which may, in Launchpad’s judgment, appear unsightly from the common areas or from outside the Building.
- B) Sidewalks, halls, passages, exits, entrances, and stairways shall not be obstructed or used for any purpose other than ingress to and egress from the Premises. They are not for the use of the general public, and Launchpad retains the right to control and prevent access by persons whose presence, in Launchpad’s reasonable judgment, would be prejudicial to the safety, character, reputation, or interests of the Building.
- C) Members shall not cause unnecessary janitorial labor or services through carelessness or indifference to good order and cleanliness.
- D) Members shall not bring onto, use, or keep in the Premises or Building any kerosene, gasoline, or flammable or combustible fluid or material, or use any method of heating or air conditioning other than that supplied by Launchpad.
- E) Launchpad has sole authority to direct where and how telephone, data cabling, and other wires are introduced. No boring or cutting of wires is allowed without Launchpad’s consent. Locations of telephones, appliances, printers, servers, and other equipment affixed to the Premises are determined by Launchpad in its sole discretion.
- F) Member shall not affix linoleum, tile, carpet, or other floor covering to the floor of the Premises except as approved by Launchpad.
- G) Member shall cause all doors to the Premises to be closed and securely locked before leaving the Building.
- H) Except in the case of Launchpad’s gross negligence, Members assume full responsibility for protecting the Premises from theft, pilferage, and robbery, including keeping doors locked and other means of entry closed and secured.
- I) Members shall not bring furniture, equipment, machinery, or appliances onto the Premises without prior written approval by Launchpad.
- J) Members shall not change or install locks on doors or cabinets without prior written approval by Launchpad.
- K) Members shall give prompt notice to Launchpad of any accidents to or defects in plumbing, electrical fixtures, or heating apparatus reasonably known to Member.
- L) Members shall not install, maintain, or otherwise locate at the Premises any computer server of any kind, whether hardware or software, without Launchpad’s permission.
- M) Member shall not make any alterations, additions, improvements, painting, or signage in, on, or near the space without the prior written consent of Launchpad. If consent is given, Member agrees to bear the cost of repairing or replacing any items damaged as a result of Member’s negligence or willful misconduct in connection with the consented work.
- N) Any damage to the space or its furniture, fixtures, equipment, cabling, or AV systems, other than ordinary wear and tear and damage by fire or other insured casualty, caused by the negligence or willful misconduct of Member or its guests shall be repaired, restored, or replaced by Launchpad, and the associated costs shall be borne by Member and reimbursable to Launchpad.
- O) Member shall repair any damage to the space caused by removal of Member’s personal property and shall restore the space to its original condition as provided to Member by Launchpad.
- P) Launchpad may provide complimentary beverages containing alcohol as a member benefit and may host events that include the sale or service of alcohol. Neither Launchpad nor any Member shall serve or permit service of alcohol to anyone under the age of 21. Launchpad reserves the right to exclude or expel from the Building any person who, in Launchpad’s judgment, is intoxicated, impaired, or under the influence of alcohol, drugs, or other intoxicating substances, or who violates any of the rules and regulations of the Building.
- Q) Any violation of these facilities rules may result in immediate termination of membership.
31. Parking
Members have the nonexclusive right to use the free on-site parking at the Premises; availability is not guaranteed. Vehicles should not be parked in spaces marked reserved and should not be left on site for long-term parking or storage. Member understands and agrees that Launchpad and/or Landlord may at any time implement parking policies affecting Member’s and its guests’ use of the parking areas, including a parking permit program. Members are strongly encouraged to carry insurance covering their own vehicles and contents; neither Launchpad nor Landlord is responsible for damage to or theft from vehicles.
32. Casualty
Member shall use every reasonable precaution against fire damaging the coworking space. In the event of fire or other casualty, Launchpad shall, in its sole discretion, decide whether to repair or reconstruct the space. If Launchpad decides not to repair or reconstruct, membership shall terminate and the parties shall make a final accounting and payment of outstanding fees and membership reimbursements.
33. Miscellaneous
These Terms and Conditions shall be construed according to their plain meaning and shall not be construed against the drafting party. All provisions are severable; if any provision is held invalid or unenforceable, a court of competent jurisdiction shall construe these Terms and Conditions to provide for maximum validity and enforceability, and such ruling shall not affect the remaining provisions. In the event of any default by Member that results in efforts by Launchpad to remedy the default (whether or not a lawsuit is filed), Member shall pay, in addition to other sums due, all costs and expenses of such efforts, including reasonable attorneys’ fees. All rights and remedies are cumulative and in addition to every other right and remedy available at law or in equity. The laws of the State of South Carolina govern the validity, construction, interpretation, and enforcement of these Terms and Conditions. Any dispute arising from these Terms and Conditions shall be resolved exclusively in the state or federal courts located in Greenville County, South Carolina, and each party consents to personal jurisdiction in those courts. Provisions that contemplate performance after termination or expiration shall survive termination or expiration. Launchpad may amend these Terms and Conditions by publishing an updated version with a new version number and effective date; material changes will be communicated to active Members and take effect no earlier than 30 days after notice.
